B/L bill of lading
Definition:
Bill of lading, means a document which evidences a contract of carriage by sea and the taking over or loading of the goods by the carrier, and by which the carrier undertakes to deliver the goods against surrender of the document. A provision in the document that the goods are to be delivered to the order of a named person, or to order, or to bearer, constitutes such an undertaking.
Functions of a B/L:
1.It is a receipt, i.e. an acknowledgement that the goods have been loaded (or received for shipment);
2.It contains or evidences the terms of the contract of carriage;
3.It serves as a prima facie document of title to the goods.

Contents of a B/L:
The B/L must contains the following information:
1.Name of the shipping company;

12.Freight clause
Types of B/L:
(1) Clean bill of lading. It indicates that the goods were received without any damage, irregularities or short shipment. Usually the words “clean on board” and “apparent good order and condition” will appear on the B/L.
(2) Unclean bill of lading or Foul bill of lading. It indicates that the goods were received with damages, irregularities or short shipment. And the captain will add “unclean on board” on the B/L. Generally speaking, such B/L will not be accepted by the banks.
(3) Short form Bill of lading. It indicates that the terms and conditions of the carriage will not be added to the back of the B/L. It can be accepted unless otherwise stipulated in the L/C.

(4) Long form bill of lading. In the long form bill of lading the terms and conditions of the carriage will be printed on the blank back of the bill of lading. It is widely used in the international ocean transportation.
(5) Straight bill of lading. In this type importer/consignee/agent is named in the bill of lading. It is a document, in which a seller agrees to use a certain transportation to ship a good to a certain location, where the bill assigned to a certain party. It details to the quality and quantity of goods.
(6) Order bill of lading. This bill uses express words to make the bill negotiable, e.g. it states that delivery is to be made to the further order of the consignee using words such as “delivery to A Ltd.” or “to order or assigns”. Consequently, it can be endorsed.

In recent years, it develops a new business scope of instant coffee drink and wishes to expand the sales of it. Now it had signed a contract of importing 50,000 tons of coffee beans with Star Coffee Export Company in Togo. According to the contract, Hongyun Company had already opened the L/C in favor of Star Coffee Export Company on November 11, 2011.

2.Ask Mr. Mugabe to ship the goods as soon as possible upon receiving the L/C;
3.The name of designated ship is Egyptian Queen docked in Port Kpeme;
4.The raw material should be well protected against dampness;

Re: Your Sales Confirmation No.100 Covering 500 Cases Toys
We thank you for your letter dated 21st August in connection with the captioned goods. In reply, we take pleasure in advising you that the confirmed, irrevocable letter of credit No.654 for the sum of USD5, 500, has been opened this morning through the First Commercial Bank Ltd., New York.
Upon receipt of the L/C, please effect shipment of the goods booked by us as soon as possible. We are informed by the local shipping company that S.S. “Apollo” is due to sail from your city to our port on or about the 12th September and, if possible, please try your best to ship by that steamer.

Role play:
Now there are two companies, A export corp. in Dalian, and B import corp. in Liverpool. Student A plays the role of A corp. and Student B plays B corp. These two students should make the following corresponding as required.
